Terms of Service
The rules of the road for using AuxBOS — what we owe you, and what you agree to in return. See also our privacy policy and pricing packages.
The agreement
These Terms of Service are an agreement between you and AuxWork Private Limited, covering your use of the AuxBOS platform and this website.
By purchasing a license, installing or using the Service, you agree to these Terms. If you are agreeing on behalf of a company, you confirm you have authority to bind it, and "you" means that company.
If you do not agree to these Terms, do not use the Service.
Definitions
- Customer — the business that licenses AuxBOS.
- Instance — the Customer's installation of AuxBOS on servers it controls.
- User — anyone the Customer gives an account: an admin, employee or client.
- Customer Data — everything the Customer and its Users put into their Instance.
Accounts & eligibility
- You must be at least 18 and able to enter a binding contract.
- The Service is for business use, not personal or household use.
- You are responsible for the accuracy of the registration details you give us.
- You are responsible for everything that happens under your accounts, including what your Users do. Keep credentials confidential and tell us promptly if you suspect they have been compromised.
- Admin accounts can create Users, reset their passwords and read the records their role permits. Choose your admins accordingly.
License grant
On payment of the one-time license fee published on the pricing page, we grant you a perpetual, non-exclusive, non-transferable license to install and use AuxBOS on servers you control, for the internal business operations of your organisation.
The license is per organisation. If you operate multiple legal entities, each entity requires its own license unless we have agreed otherwise in writing.
One-time license & add-ons
- The AuxBOS self-hosted license is a one-time purchase at the price published on the pricing page, payable in advance.
- The license includes 1 year of software updates and email support from the date of delivery. Continued access to updates after year one requires an optional annual upgrade subscription.
- Optional add-ons (installation, training, priority support, managed hosting, custom modules) are quoted separately and billed upfront or on the schedule stated on your quote.
- Annual add-ons (priority support, upgrade subscriptions, managed hosting) renew for the same period unless you tell us otherwise before renewal.
- We may change prices for future purchases and renewals; a price change will never apply to a period you have already paid for.
- You are responsible for any taxes and duties applicable to your purchase.
Refunds
Because the AuxBOS license is delivered as software installed on your infrastructure, the license fee is non-refundable once we have delivered the installer and license key. If you run into problems during installation or the first 30 days of use, contact us — we will work with you to make it right, up to and including a refund at our discretion where the software has not been usable.
Acceptable use
You agree not to:
- Break the law, or infringe anyone's rights, using the Service.
- Upload malware, or anything designed to damage or interfere with the Service.
- Attempt to access another company's Instance or data, probe our security without permission, or bypass authentication or permission controls.
- Resell, sublicense or white-label the Service without our written agreement.
- Reverse engineer the Service, except to the extent the law says you may.
- Use the Service to send unsolicited bulk email, or to send email from addresses you are not authorised to use.
- Place an unreasonable load on the platform, whether automated or not.
We may suspend a Instance that is causing active harm to the platform or to others, and we will tell you why.
Your data
- You own your Customer Data. We do not claim ownership of anything you put into your Instance.
- Because AuxBOS is self-hosted, we do not host or store your Customer Data. Any data we do receive (for example, if you send us a support diagnostic) is used only to help you with that specific request.
- We do not sell your data, and we do not use the content of your Instance to advertise.
- You are responsible for having the right to put the data you upload into the Service, including personal data about your employees and clients.
- Our handling of personal data is described in the Privacy Policy, which forms part of these Terms.
Employee monitoring
This clause matters more than most, so please read it.
AuxBOS can capture periodic screenshots of a User's screen while a work session timer is running, along with attendance and time records. You decide whether to enable this, and you are solely responsible for doing so lawfully.
- You are responsible for telling your employees that monitoring is in place, and for obtaining whatever notice, consent or works-council agreement your local law requires.
- You are responsible for using the resulting data proportionately and for the purpose you disclosed.
- Employee monitoring is regulated very differently between countries, and in some it is unlawful without specific prior steps. We provide the tool; the legal basis for using it in your workplace is yours.
If you cannot meet these obligations, do not enable screenshot capture.
Availability & support
Because AuxBOS runs on your own infrastructure, its availability is your responsibility. We will provide bug fixes and reasonable-effort email support during the first year included with your license, and at the level described on your quote for any priority-support add-on.
If you have purchased the managed-hosting add-on, availability of that hosting environment is governed by the terms on your managed-hosting quote.
Intellectual property
The Service — the software, design, branding and documentation — belongs to AuxWork and its licensors. These Terms grant you a perpetual, limited, non-exclusive, non-transferable right to use it under the license you purchased, and nothing more.
If you send us feedback or suggestions, we may use them to improve the Service without owing you anything for it.
Confidentiality
Each of us may learn confidential information from the other. Both of us agree to protect it with reasonable care and to use it only to perform this agreement — except where disclosure is legally compelled, in which case we will tell you if we are permitted to.
Warranties & disclaimers
We warrant that we will provide the Service with reasonable skill and care.
Beyond that, and to the fullest extent the law allows, the Service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that it will meet every requirement you have.
Nothing in these Terms excludes any liability that cannot lawfully be excluded.
Limitation of liability
To the fullest extent permitted by law:
- Neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, goodwill or data, even if warned it was possible.
- Our total aggregate liability arising out of or relating to the Service is limited to the amount you paid us in the twelve months before the event giving rise to the claim.
Indemnity
You agree to indemnify AuxWork against claims arising from your use of the Service in breach of these Terms or the law — including claims brought by your own employees or clients relating to data you chose to collect through the Service, or to monitoring you chose to enable.
Termination
- You may cancel at any time; it takes effect at the end of your paid period.
- We may suspend or terminate for a material breach of these Terms, giving you notice and a reasonable chance to fix it where the breach can be fixed.
- After termination you have a limited window to export your Customer Data, after which it is deleted as described in the Privacy Policy.
- Clauses that by their nature should survive termination — data ownership, confidentiality, liability, indemnity — do survive.
Changes to these terms
We may update these Terms as the Service evolves. The date at the top reflects the current version. For material changes we will give you notice, and continuing to use the Service after a change takes effect means you accept the updated Terms.
Governing law
These Terms are governed by the laws of the Islamic Republic of Pakistan, and the courts of Pakistan have exclusive jurisdiction over any dispute arising from them.
